1. The Digital Inspector as a Service Solutions

Digital Inspectors perceive the world through cameras and sensors. They inspect spaces, objects, and people to detect changes that require action. Their output consists of interactive reports, alerts, and API calls to maintenance systems.

Each Digital Inspector is built on BrainCreator's BrainMatter platform, a proprietary technology stack containing cutting-edge AI and fine-tuned deep learning models. The revolutionary BrainMatter platform generates Digital Inspectors based on the knowledge and skill of a human inspector. Knowledge transfer between the human and the machine is based on taxonomy and examples. We're automating digital inspectors' knowledge transfer and training to enable a fast and smooth transition from human to digital.

A trained Digital Inspector can be cloned infinitely to serve global customers as digital employees. Automating visual inspection tasks accelerates our clients' business in verticals such as smart cities, infrastructure, recycling, and retail by eliminating the costly bottleneck: manual visual inspections. Customers benefit from increased process speed, lower cost, higher consistency, and increased worker safety.

The Digital Inspector as a Service (“DIaaS”) for Automated Road Inspection allows road inspectors to transfer their domain knowledge to BrainMatter. It requires transferring the knowledge and skill of a human expert to the machine by making it explicit in a digital form. Knowledge is transferred by creating examples in the form of meta-data annotated images, and evaluating performance. Additionally, domain experts may be interviewed by BrainCreators knowledge transfer personnel to provide contextual information to be used by BrainCreators engineers for optimisation and support of DIaaS models.

For Automated Road Surface Inspection, this comes down to curating examples for each defect type. For example, a pothole in the road needs to be explicitly labeled on a picture that contains a pothole. When this set of examples is representative and well balanced, BrainMatter can be taught. Once taught the knowledge is applied to recognize defects on road surfaces that BrainMatter has never seen before. BrainMatter can then be configured to follow rules, send alerts, create tickets, and integrate with existing process management systems.

Incoming images are processed automatically, recognition is performed, and follow-up actions are initiated. The entire process of observing, interpreting, and responding can be run in the cloud, on a central server, or on local edge devices.

1.1 Offerings

The Client may select from the following available offerings.

1.1.1 DIaaS for Automated Road Inspection Standard

Standard is a multi-tenant deployment of the DIaaS Solutions in BrainCreators Private Cloud. Standard deployments offer a multi-channel browser interface for Automated Road Inspection.

1.1.2 DIaaS for Automated Road Inspection Premium

Premium is a single-tenant deployment of the DIaaS Solutions in BrainCreators Private Cloud. For Premium deployments of this DIaaS Solution, each with a redundant instance in a dedicated environment to offer a multi-channel browser interface for Automated Road Inspection.

3. Service Levels and Technical Support

3.1. Service Level Agreement

The service level agreement set forth in the Digital Inspector as a Service Agreement (“DISA”) applies to this service.

4. Charges

4.1. Charge Metrics

The charge metric(s) for the DIaaS Solution are specified in the Transaction Document. The following charge metrics apply to this Cloud Service: 

  • Event is an occurrence of a specific event that is processed by or related to the use of this DIaaS Solution. For this DIaaS Solution, 200 images is equal to 1 (km) Event assuming cameras are triggered to acquire an image each 5m. For different acquisition framerates, a rate proportional to the number of images is applicable.
  • Instance is each access to a specific configuration of the DIaaS Solution.
  • Authorized User is a unique user authorized to access the DIaaS Solution(s) in any manner directly or indirectly (for example, through a multiplexing program, device, or application server) through any means. 
  • Gigabyte (GB) is defined as 2 to the 30th power bytes of data processed by, used, stored, or configured in Cloud Services. 


4.2.
Partial Monthly Charges

This section applies to Standard and Premium only.

Each Instance of the DIaaS Solution is billed on a monthly basis. Partial month deployment/usage will be pro-rated.


5. Additional Terms

5.1. Updates and releases

5.1.1 Platform Updates

This section applies to cloud-based deployments only.

BrainCreators will release incremental updates to the BrainMatter platform to fix issues, remove deprecated features, or add new functionality.

The DIaaS Solution deployments are silently updated in the background outside of office hours with no, or minimal downtime to ensure continuous service delivery. Each update is accompanied by a listing and explanation of changes as a Release Notes glossary. 

Components, machine learning models, frameworks and patterns that power the DIaaS Solution(s) may be modified by BrainCreators, in order to improve performance. 

5.1.2 Backwards Compatibility

BrainCreators will strive to avoid any negative impact of platform updates to existing features of the DIaaS Solution. Existing intelligent automation solutions for the Client in a DIaaS Solution deployment will either directly benefit, or not be impacted by changes introduced through platform updates. In rare cases where existing solutions or functionality could be impacted, the client will be notified way in advance to take preemptive precautionary actions. 

5.2. High Availability

BrainCreators strives to offer the highest possible availability of the DIaaS Solution at all times. All platform software, underlying systems, and databases are running in a redundant configuration to ensure optimal uptime guarantees. For mission-critical applications BrainCreators can arrange private cloud installments that offer additional security and uptime guarantees at additional charges.

5.3 Backup & Restore

Data and configurations within the BrainCreators cloud environment is automatically backed up to prevent loss of knowledge and automation. Clients are responsible for backup and restoring of data that is to be imported to or has been exported from the BrainCreators Cloud environment.

5.4. Disaster Recovery

The DIaaS Solution has Business Continuity plans in place to provide for the recovery of the BrainMatter Cloud Service within hours in the event of a corresponding disaster. Client is responsible for their own data backup, and associated recovery of Client Content.

5.5. License to Existing Digital Inspector as a Service Solution

A Solution is any part, module, configuration, user interface, output, application, enriched dataset, or integration originating from the DIaaS Solution that is used to create value for Clients, in any form,  including, but not limited to, data visualization, data cleaning, data filtering, data manipulation, importing, exporting, sharing, annotating, automation of processes, tasks, workflows, recognition, identification, application of rules and third-party integrations.

If the Client elects to reuse existing (partial) solutions and configurations, the following term will also apply:

BrainCreators grants to Client a revocable (solely in the event of termination or expiration of this Agreement), nonexclusive, non-assignable, worldwide, paid-up license to use, execute, reproduce, perform and modify the examples, and rule set provided with the existing solution, for internal (to Client use only), for the sole purpose of enhancing, extending or customizing the solution, running on the DIaaS Solution. Any Client enhancements or extensions of existing solutions will be treated as Client Content. Existing solutions may not be further distributed or used separately from the DIaaS Solution. BrainCreators has no responsibility for the example sets used for teaching BrainMatter and the intelligent automation solutions that result from the Client’s use of and modification to the existing solutions, and hence BrainCreators warranties will not apply. BrainCreators has no responsibility to maintain or provide support for the modified library of solutions containing the Client’s enhancements, extensions, or customizations. 

5.6. Feedback

Client(s) is welcomed to suggest enhancements of BrainMatter (feedback). Client is under no obligation to provide such Feedback. BrainCreators is free to use all Feedback that Client provides to improve the BrainMatter platform and any solutions generated by the platform, now or in the future.

6. Overriding Terms

6.1. Data Use

The following prevails over anything to the contrary in the Content and Data Protection section of the base BrainMatter as a Service Agreement (“DISA”) terms between the parties: BrainCreators will not use or disclose the output from Client's use of the DIaaS Solution that is unique to Client's Content (data and rules) or that otherwise allow identification of the Client. BrainCreators is free to use generic data, configurations, rules, Feedback, and other information resulting from Client’s use of the DIaaS Solution for the purpose of improving BrainMatter and other solutions that BrainCreators offers now or in the future.

BrainCreators will maintain the right to use Content (excluding Client Personal Data) that is stored or persisted as part of BrainMatter’s skills, unless otherwise agreed with the client. 

Content will be retained and not deleted at the end of 90 days as specified in Section 4 of the Data Processing and Data Protection Data Sheet (https://www.braincreators.com/dpa/datasheet/DIaaSforAutomatedRoadInspection). 

BrainCreators reserves the right to remove Client’s Data (including Client Personal Data) after termination of or expiration of the DIaaS Solution.

6.2. Training Data

The following prevails over anything to the contrary in the Data Sheet referred to in the "Data Processing Addendum and Protection Data Sheets" section of this Service Description and the Content and Data Protection section of the base BrainMatter as a Service Agreement (“DISA”) terms between the parties. 

The Data Sheet sets out the Types of Personal Data and Special Categories of Personal Data that generally can be processed within the DIaaS Solution. Client should not use any of the Types of Personal Data, Special Categories of Personal Data, or other Personal Data, including Protected Health Information ("PHI") and payment card data (PCI-regulated content), to create solutions on the DIaaS Solution.
